We advised Compañía de Minas Buenaventura S.A.A. and its affiliates in the sale of their shares in Minera Yanacocha S.R.L. represent 43.65% of the capital stock of Yanacocha to Newmont, for a consideration of US$ 300,000,000 as well as contingent payments linked to the production of the Sulfur Project that Yanacocha plans to develop and to future rises in mineral prices, which may amount to up to US$ $100,000,000.

We advised Compañía de Minas Buenaventura S.A.A. and its subsidiary companies (Buenaventura) in a successful international issuance and placement of bonds for an amount of US$550,000,000 (US$550,000,000 5.500% Senior Notes Due 2026) under an Issuance Agreement (Indenture) dated July 23, 2021.

We advised Compañía de Minas Buenaventura S.A.A. (BVN) in the financing operation "Syndicate of Letter of Bond Guarantee of Payment" of up to an amount of S/ 2,151,000,000.00 (approx. US$ 615,000,000) with a group of national and foreign financial entities, with the purpose that these issue the Bond Letters that the National Superintendency of Customs and Tax Administration (SUNAT) requires to grant BVN the requested deferral and installment.

We advised Volcan Compañía Minera S.A.A. (Volcan) to form a joint venture with COSCO SHIPPING Ports Limited to design, develop and build a private multi-use port in Chancay. The transaction has a value of US$225,000.

We advised Frontera Energy Corporation, a Canadian oil company, in the issuance of senior unsecured notes for an amount of USD 350 million, at a rate of 9.70% and maturity in 2023.

We advised Volcán Compañía Minera S.A.A. in the acquisition of 100% of the shares of Terminales Portuarios Chancay through its company Empresa Administradora de Puertos S.A. for the development of a multipurpose port in Chancay, north of Lima. This project includes the construction of ten equipped docks.

We developed a strategy to use NAFTA and the Free Trade Agreement between the USA and Peru to allow the export of fibres and yarns for the Peruvian textile and clothing industry through the Mexican company Ante Textil S.A.

We were organizers of the Latin America-Caribbean Regional Meeting and Board of Directors Meeting of MERITAS with the participation of 35 Firms from different countries.

GSA was appointed as a legal consultant by the International Finance Corporation (IFC), an entity created in 1956 by the World Bank, for the financing of private companies; and advised the IFC on the first loan granted in Latin America, which was in favour of Cemento Andino S.A.

Toquepla Trial: Ernesto de la Jara and Aurelio García Sayán defended Cerro de Pasco Co. in their trial against Northen Peru Smelting (subsidiary of ASARCO) for the Toquepala mine.

Dr Carlos Espinosa began as a lawyer taking on the legal issues of the Michael Grace business house, which later became Casa Grace & Co. when signing the agreement with the Peruvian State Grace created the Peruvian Corporation in 1890 to deal with the railways and the Cerro Corporation in 1902 to deal with the Cerro de Pasco mines, whose main shareholder was W.R Grace and Cia.
